Terms of service
Last updated: 2026-09-18 · Applies to FaceNest for Windows (version 1.0.0 and later)
The three things that matter: ① The licence is for personal use on 2 devices; ② a subscription must check in online at least every 45 days; ③ when it expires you drop back to the free tier and your data is not deleted.
1. Acceptance
By downloading, installing or using FaceNest ("the software") you agree to these terms. If you do not agree, please do not use the software.
2. Licence scope
We grant you a non-exclusive, non-transferable, revocable licence to install and use the software for personal use.
- Activatable devices: 2. One licence key can be activated on at most 2 computers.
- Switching computers: use "Unbind this PC" on the old device first, then activate on the new one. You can self-unbind once every 90 days; contact us if you need to move more often.
- Commercial use: using the software inside a company is fine. Reselling it as a service, or embedding and redistributing it inside your own product, requires written permission in advance.
3. Subscriptions, renewal and expiry
- Subscriptions renew automatically and are charged by Creem (the Merchant of Record) on the cycle you selected.
- There is a 14-day grace period after expiry during which everything keeps working.
- When the grace period ends, Pro features drop back to the free tier: the library is capped at 100 photos and semantic search is switched off. Your existing photos, faces, tags and albums remain searchable, and we never delete any of your data.
- You can cancel at any time, yourself: log in to the Creem customer portal with your payment email, or use the link in your receipt email. Cancelling only stops future charges — the period you already paid for keeps working to its end.
4. Periodic licence check-in (please read)
Periodic licence check-in: FaceNest Pro is a subscription licence. So that we can determine your licence status correctly when you switch computers, renew, or request a refund, the app must connect to the internet at least once every 45 days to complete a licence check-in. This check-in runs fully automatically and requires no action from you. If 45 days pass without a check-in, Pro features are paused and are restored automatically once you are online; your data (photos and index) is never deleted. The check-in transmits only what is required to verify the licence (licence key, machine identifier, app version) and does not include your photos, files, paths, search history, or anything unrelated to licensing.
Why 45 days: the licence is verified offline, so a periodic check-in is the only way we can determine licence status correctly when you switch computers, renew or request a refund. Adobe Creative Cloud validates every 30 days and GraphPad Prism every 30 days — our 45 days is more generous than both.
5. Restrictions
You must not:
- reverse engineer, decompile or disassemble the software, or attempt to circumvent its licence verification — except where the licences of the third-party components we ship do not permit that restriction (in particular the GNU LGPL v3, which allows reverse engineering for the purpose of debugging your modifications to those components);
- redistribute, rent, lend or resell the software or its licence keys;
- remove or alter any copyright, trademark or other proprietary notice;
- publish a licence key publicly, or use it on more machines than the licence permits.
Breaching these restrictions may result in the licence being disabled.
6. Your content and your responsibility
Every photo, video and file the software processes belongs to you. We never access it, collect it or claim any rights over it.
You are responsible for making sure that you hold the necessary rights to the photos you import, and that your use of face recognition complies with the law where you are (in some jurisdictions, processing other people's biometric data requires consent). The software is a local tool — whether your use is lawful is up to how you use it.
Please also keep your own backup of your original photos. The software is designed never to modify your originals, but no software should ever be your only backup.
7. Disclaimer
The software is provided "as is", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability and fitness for a particular purpose.
Face detection, automatic tagging and semantic search are probabilistic AI features and are not guaranteed to be accurate. Do not use them for identity verification, security, medical, or any other purpose with a hard accuracy requirement.
To the maximum extent permitted by law, we are not liable for any indirect, incidental or consequential loss arising from the use of, or inability to use, the software.
8. Changes to these terms
We may update these terms from time to time. Material changes will update the "last updated" date at the top of the page. Continuing to use the software after a change means you accept the new terms.
9. Governing law
These terms are governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China.
Disputes about payment, refunds and billing are handled by Creem (the Merchant of Record) under its buyer terms — see the refund and cancellation policy.
